MOUNTAIN VILLAGE – The Telluride Mountain Village Owner’s Association will fill two open seats on its Board of Directors in its 2013 annual election. Election ballots will be mailed out to TMVOA members on Nov. 25, and are due back Monday, Dec. 23 by 5 p.m. TMVOA will announce the results at its annual members meeting on Monday, Dec. 30, at 4 p.m.
Five candidates have already applied for the Residential Director seat, and one for the Lodging Director seat. Even though the lodging seat is uncontested with only one member running, TMVOA must still receive sufficient votes representing a quorum of more than 20 percent of the total votes from Class B members in order to validly elect the candidate to the Board.
TMVOA’s seven directors have two primary obligations: a duty of care and a duty of loyalty. The duty of care requires the director to act in a responsible and informed manner when participating in the TMVOA’s board decisions and its oversight of TMVOA management. The duty of loyalty, as the name suggests, requires a director’s conduct to be in good faith and in the best interest of TMVOA. Each director must be independent when making business decisions for TMVOA.
TMVOA is made up of four different membership classes: Class A is residential, Class B is lodging, Class C is commercial and Class D is mountain member. Qualified candidates for the Residential Director (Class A) seat must own property or a density zoned as a condominium, single family or employee housing. Those running for the Lodging Director (Class B) seat must own a lodge site or lessees who lease and operate a lodge site. Both seats have two-year terms and no term limits. The deadline to apply to be on the ballot for the Residential Director and the Lodging Director has already passed.
